Company information and definitions
PrecisionDermal is a trading name of
Astflick Group Limited, company number 05950580,
whose registered office is Unit 7, Latham Road Business Park,
Latham Road, Huntingdon, Cambridgeshire, PE29 6YE, United Kingdom.
PrecisionDermal branding and associated intellectual property are
owned by Astflick Holdings Limited and used under licence.
In these terms, we, us and
our mean Astflick Group Limited trading as
PrecisionDermal. Customer,
you and your mean the business
purchasing or seeking to purchase goods from us.
Contract means the contract formed under section 4.
02
Business customers and authority
We supply strictly on a business-to-business basis. By requesting
a quotation, opening an account or ordering, you confirm that you
are acting wholly or mainly for purposes connected with a trade,
business, craft or profession and not as a consumer.
The person placing an order confirms that they are authorised to
act for and bind the named customer. They do not become personally
liable merely by placing an order for a limited company or other
organisation unless they separately agree in writing to personal
liability or sign a valid guarantee.
Consumer cancellation and cooling-off rights do not apply to a
genuine business transaction. Nothing in these terms excludes
rights that cannot lawfully be excluded or applies because a
purchaser is legally acting as a consumer despite any description
used.
03
Terms incorporated into the contract
These terms apply to every quotation, order, credit account and
supply of goods by us.
Our Returns, Refunds & Delivery Policy, Privacy Policy and any
product-specific or account terms expressly identified by us also
form part of the contract.
Terms printed on or referenced by a customer purchase order,
procurement portal or other customer document do not apply unless
an authorised representative of PrecisionDermal expressly accepts
them in writing.
If documents conflict, specifically negotiated written terms take
priority, followed by our written order acceptance, these Terms
and Conditions of Sale, the applicable policy and then the
quotation.
A purchase order does not override this order of precedence.
04
Orders and contract formation
A quotation, product listing or price displayed on our website is
an invitation to place an order and is not a binding offer. The
customer’s order is an offer to buy the identified goods on these
terms.
An automated acknowledgement confirms receipt only. Unless we
expressly state otherwise, a contract forms when we dispatch the
goods or issue an express written order acceptance, whichever
occurs first.
Each separately dispatched instalment may be treated as a separate
contract.
Before acceptance, we may reject or cancel an order because of a
pricing or description error, lack of availability, supplier
restriction, regulatory concern, payment failure, credit risk,
suspected fraud or another legitimate business reason.
Any payment already taken for rejected goods will be refunded.
After acceptance, cancellation or amendment is governed by the
Returns, Refunds & Delivery Policy and is effective only when
agreed by us in writing.
05
Products, descriptions and availability
We take reasonable care to describe goods accurately. Images,
colours, dimensions and packaging shown online are illustrative
and may vary where this does not materially affect the goods’
identity, performance, safety or regulatory compliance.
Manufacturers may update packaging, product references or
specifications. We will not make a material substitution without
the customer’s agreement.
Where an ordered item is unavailable, we may offer an alternative,
place the item on back order or cancel and refund it.
Availability and lead-time information are estimates unless
expressly guaranteed in writing.
The customer is responsible for confirming that the selected
product, specification, compatibility, quantity and expiry profile
meet its requirements before ordering.
We may request evidence of professional status, intended use,
regulatory eligibility or authority to purchase restricted goods.
We may refuse supply where satisfactory evidence is not provided.
06
Prices, VAT and quotations
Unless stated otherwise, prices exclude VAT, delivery, customs
charges and other applicable duties.
The customer must pay VAT and other charges at the rate legally
applicable to the supply.
A quotation is valid only for the period stated, or for 30 days if
no period is specified. It remains subject to availability,
supplier pricing, currency movement and acceptance under section 4.
We may correct an obvious pricing, tax or description error before
acceptance.
If an error is found after an order is placed but before
acceptance, we will give the customer the option to proceed at the
corrected price or cancel the affected item.
Discounts, rebates and promotional prices apply only on the stated
conditions.
Unless agreed otherwise in writing, we may withdraw a
discretionary discount for future orders or where the qualifying
invoice is paid late.
07
Payment and credit accounts
Payment is required in advance unless we approve a credit account
or agree different terms in writing.
Approved credit is discretionary, subject to a credit limit and
may require financial, identity, trade-reference or credit checks.
Unless the invoice, credit approval or a written agreement states
otherwise, approved credit-account invoices are payable within
30 days from the end of the month in which the invoice is issued.
Payment must be made in full, in cleared funds, without deduction,
withholding, set-off or counterclaim except where required by law
or agreed by us in writing.
We may reduce, suspend or withdraw unused credit on reasonable
commercial grounds, including adverse credit information, overdue
payment, breach of these terms or increased financial risk.
This does not change the due date of an invoice already issued
unless the law or an agreed term permits acceleration.
The customer must notify us promptly of a disputed invoice and
provide reasonable detail.
An invoice dispute does not permit withholding payment of an
undisputed amount.
08
Late payment, interest and recovery costs
If a qualifying commercial debt is overdue, we may claim
statutory interest under the Late Payment of Commercial Debts
(Interest) Act 1998.
Statutory interest is charged at 8 percentage points above the
applicable Bank of England reference rate, calculated daily from
the due date until payment.
We may also claim the statutory fixed compensation applicable to
each qualifying debt:
Debt below £1,000
£40
£1,000–£9,999.99
£70
£10,000 or more
£100
Where permitted, we may additionally recover reasonable
debt-recovery costs not covered by the fixed compensation.
If a different contractual interest provision lawfully applies,
we will not claim statutory interest as well for the same period
where double recovery is prohibited.
09
Delivery
Standard delivery is normally 3–5 working days from dispatch
unless another service or lead time is agreed.
Delivery dates are estimates and time is not of the essence unless
expressly agreed in writing.
Delivery is completed when goods are delivered to the stated
address, accepted by a person there or left in accordance with the
customer’s authorised instruction.
The customer is responsible for accurate delivery information,
suitable access and accepting delivery during the stated hours.
We may deliver in instalments. A delay affecting one instalment
does not entitle the customer to reject other instalments unless
the delay substantially deprives the customer of the benefit of
the whole contract.
Detailed rules for delay, failed delivery, damage, shortages and
courier evidence appear in our Returns, Refunds & Delivery
Policy.
10
Risk and retention of title
Risk of loss or damage passes to the customer when delivery is
completed.
Legal and beneficial title to goods remains with us until we
receive in cleared funds all sums due for those goods and all
other overdue sums owed by the customer to us.
Until title passes, the customer must:
-
Keep the goods identifiable as our property and, where
practicable, separate from other stock;
-
Preserve labels, batch information and packaging and store the
goods correctly;
- Keep the goods insured for their full replacement value;
-
Notify us immediately of insolvency, seizure, loss or material
damage affecting the goods.
The customer may resell goods in the ordinary course of business
before title passes, but not after we terminate that permission
following an overdue payment or insolvency event.
Where legally permitted, the customer must allow us reasonable
access to inspect or recover identifiable unpaid goods and must
procure equivalent access from any third-party premises at which
they are stored.
11
Cancellations, returns and refunds
Correctly supplied, non-faulty goods cannot normally be returned
because they are no longer required, were over-ordered or were
ordered incorrectly.
Sterile, sealed, hygiene-sensitive, temperature-controlled,
bespoke and special-order goods are subject to additional
restrictions.
No goods may be returned without prior written authorisation.
All cancellations, inspection periods, return procedures,
remedies, refunds and credit notes are governed by our Returns,
Refunds & Delivery Policy.
12
Faulty, damaged or misdescribed goods
Goods are supplied subject to applicable legal terms concerning
title, description, satisfactory quality and fitness for a purpose
expressly made known and reasonably relied upon, subject to lawful
contractual limits.
The customer must inspect goods promptly and provide the order
number, product reference, batch or lot number, expiry date,
photographs and other reasonable evidence.
A problem is not an inherent fault where it results from misuse,
unsuitable storage, unauthorised alteration, expired use or
failure to follow instructions.
We may require inspection or manufacturer investigation and may
repair, replace, supply a missing quantity, issue a credit or
refund as appropriate.
Nothing in these terms removes a remedy that cannot lawfully be
excluded.
13
Professional-use products
Products described as professional, clinical, medical, aesthetic
or restricted are intended only for lawful purchase and use by
appropriately trained, qualified and insured professionals or
organisations.
The customer is responsible for ensuring:
-
The goods are suitable and legally permitted for the intended
application;
-
Every user has the required training, competence, registration
and insurance;
-
Manufacturer instructions, warnings, storage conditions and
expiry dates are followed;
-
Suitable records, traceability and stock rotation are
maintained;
-
Applicable professional, clinical, medicines and medical-device
requirements are observed.
We may refuse or suspend supply if we reasonably believe these
requirements are not satisfied.
14
Clinical responsibility and no clinical advice
PrecisionDermal supplies products and does not diagnose patients,
prescribe treatment or provide medical, clinical, legal or
regulatory advice.
Product information is supplied for general and
manufacturer-support purposes.
The treating professional remains solely responsible for patient
assessment, informed consent, product selection, technique, dosage
where relevant, contraindications, infection control, aftercare
and the clinical outcome.
We are not liable for harm arising from an unsuitable treatment
decision, unqualified use, off-label use, incorrect technique,
failure to follow instructions or another act or omission outside
our control.
This does not exclude liability caused by our own negligence,
breach, a defective product or anything that cannot lawfully be
excluded.
15
Product safety, incidents and recalls
If goods may be counterfeit, contaminated, incorrectly labelled,
unsafe or connected with an adverse incident or near miss, the
customer must:
- Stop using the affected goods;
- Quarantine affected stock;
- Preserve packaging and traceability information;
- Record the batch or lot number and expiry date;
- Contact PrecisionDermal immediately.
The customer must cooperate with reasonable investigation,
vigilance, corrective-action and recall instructions and make any
report required of it to the MHRA or another regulator.
We may share relevant information with the manufacturer,
authorised representative, regulator, insurer and supply-chain
partners.
Recall, field-safety or urgent product notices must be acted upon
promptly.
The customer is responsible for maintaining sufficient records to
identify affected stock and, where lawfully necessary, its onward
supply or use.

16
Limitation of liability
Nothing in these terms excludes or restricts liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
-
Breach of title obligations that cannot lawfully be excluded;
-
Defective-product liability or another liability that cannot
lawfully be excluded or limited.
Subject to the above and to the fullest extent permitted by law,
we are not liable for indirect or consequential loss, or loss of
profit, revenue, business, contracts, goodwill, anticipated
savings, data, appointments or procedures.
We are not liable to the extent a loss results from the customer’s
ordering error, misuse, unsuitable storage, unauthorised
modification, unqualified use, clinical decision, failure to
follow instructions or failure to mitigate loss.
Subject to any higher limit expressly agreed in writing, our
aggregate liability arising from a contract will not exceed the
total price paid or payable for the goods giving rise to the claim.
This cap does not apply where it would be prohibited or
unreasonable under applicable law.
The customer should maintain appropriate business continuity,
professional indemnity, public liability and product liability
insurance.
Customers should not schedule critical procedures solely in
reliance on an estimated delivery date.
17
Customer responsibility for third-party claims
To the extent permitted by law, the customer will reimburse us for
reasonable losses, liabilities and costs arising from a
third-party claim caused by the customer’s:
- Material breach of these terms;
- Unlawful resale;
- Product misuse;
- Unauthorised product claims;
- Unqualified clinical use;
- Failure to follow a safety or recall instruction.
This obligation does not apply to the extent that the claim was
caused by our negligence, breach of contract, defective goods or
another matter for which we are legally responsible.
We must take reasonable steps to mitigate recoverable loss and
allow the customer reasonable participation in the defence where
appropriate.
18
Chargebacks and payment disputes
Before raising a chargeback or payment dispute, the customer
should contact us promptly and provide an opportunity to
investigate.
This does not remove any lawful right to use a card-scheme or
banking dispute procedure.
A dishonest, duplicated or knowingly unsupported chargeback does
not extinguish the underlying debt.
We may defend it and recover any amount properly due, together
with interest and reasonable recovery costs permitted by law.
19
Personal guarantees for credit accounts
Opening or using a credit account does not by itself make a
director, employee, account applicant or authorised user
personally liable for the customer’s debts.
Where a personal guarantee is required, it must be contained in a
separate written guarantee or credit agreement identifying the
guaranteed obligations and signed by the intended guarantor.
Its scope, duration, enforcement and termination will be governed
by that separate document.
We may decline or withdraw unused credit if a requested guarantee
is not completed or ceases to provide the agreed security.
20
Intellectual property and permitted use
PrecisionDermal names, logos, website content, original copy,
layouts, graphics and associated brand assets are owned by
Astflick Holdings Limited or their respective licensors.
Product trademarks and manufacturer materials remain the property
of their respective owners.
No content may be copied, altered, republished, scraped,
distributed or used to imply endorsement without prior written
permission, except for ordinary internal purchasing or where law
permits.
Resale does not grant a licence to use our branding, photographs
or content in marketing.
21
Data protection and confidentiality
We process personal information in accordance with our published
Privacy Policy.
The customer must ensure that any personal information it provides
to us is disclosed lawfully and is limited to what is reasonably
necessary.
Customers must not send identifiable patient records, clinical
photographs or health information unless specifically requested
for a legitimate product-safety or legal purpose and lawfully
disclosed.
Unnecessary identifiers should be removed.
Each party must protect confidential commercial information
received from the other and use it only for the contract, except
where disclosure is authorised, already public, independently
obtained or required by law, a court or regulator.
22
Events outside reasonable control
We are not responsible for delay or failure caused by an event
outside our reasonable control, including:
- Supply shortages or manufacturer action;
- Product recalls;
- Transport failure or customs delay;
- Epidemic, fire, flood or severe weather;
- Utility, communications or systems outages;
-
Cyber incidents occurring despite reasonable precautions;
- Industrial disputes;
- War, sanctions or trade restrictions;
- Government or regulatory action.
The affected obligation is suspended for the duration of the
event. We will take reasonable steps to reduce its effect.
If material performance remains impossible for more than 60 days,
either party may cancel the affected undelivered portion by
written notice without affecting accrued rights.
Any payment for cancelled undelivered goods will be refunded.
23
Suspension, refusal and termination
We may suspend supply, place an account on stop, require pro forma
payment or terminate an unfulfilled contract where:
- An undisputed payment is overdue;
-
The customer exceeds its credit limit or credit risk materially
increases;
-
The customer materially breaches these terms and, where
remediable, fails to remedy the breach promptly after notice;
-
We reasonably suspect fraud, unlawful use, unsafe use or
regulatory non-compliance;
-
The customer becomes insolvent, ceases trading or is subject to
a relevant insolvency process.
Suspension does not waive payment obligations or other accrued
rights.
On termination, all undisputed amounts already due remain payable.
Clauses intended to continue, including payment, title,
confidentiality, intellectual property, liability and
governing-law provisions, will survive termination.
24
General contractual terms
Assignment and subcontracting
We may subcontract performance and may assign the contract to a
group company, financier or successor as part of a genuine
financing, reorganisation or business transfer, provided this
does not materially reduce the customer’s rights.
The customer may not assign the contract without our prior written
consent, which will not be unreasonably withheld for a legitimate
business transfer.
Entire agreement
The contract records the agreement about its subject matter and
replaces earlier discussions or representations, but nothing
excludes liability for fraud or fraudulent misrepresentation.
The customer confirms it has not relied on a statement not set out
in the contract, except where the law prevents that exclusion.
Variation, waiver and severability
A variation must be agreed in writing by authorised
representatives. Delay in enforcing a right is not a waiver.
If a provision is unlawful or unenforceable, it will be modified
to the minimum extent necessary or removed without affecting the
remainder.
Third-party rights and notices
Unless expressly stated, no third party may enforce the contract
under the Contracts (Rights of Third Parties) Act 1999.
Contractual notices must be sent to the postal or email address
last notified by the recipient. Routine order and support
communications may be sent electronically.
25
Governing law and disputes
The contract and any non-contractual obligation connected with it
are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
Before issuing proceedings, each party should give reasonable
written details of the dispute and allow a reasonable opportunity
for senior representatives to seek a commercial resolution.
This does not prevent urgent injunctive action, debt proceedings,
enforcement of title or action required to avoid expiry of a legal
limitation period.
